Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the RouteIQ website and dispatch software platform (the "Service"). RouteIQ is a product of CodeRed Technologies, Inc. ("CodeRed", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms on behalf of yourself and any business you represent.

1. The Service

RouteIQ provides dispatch, route optimization, fleet tracking, driver and customer communication, and related logistics software for businesses. The Service is currently offered on an early-access basis: features may change, we may modify, suspend, or discontinue parts of the Service as the product evolves, and no uptime or support commitments apply unless we agree to them in writing. We will make reasonable efforts to notify active customers of material changes.

2. Eligibility and Accounts

The Service is intended for business use. You must provide accurate information when requesting access and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, including activity by dispatchers, drivers, and other users you invite to your organization.

3. Your Data

You retain all rights to the business data you submit to the Service, including job, customer, and operational records. You grant us a limited license to process that data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy. You are responsible for ensuring that you have the legal right to submit the personal information you process through the Service, including your customers' contact details and your drivers' location data, and for complying with the laws that apply to your business.

4. Your Services and Your Customers

The Service is a software tool. We are not a party to any transaction between you and your customers, and we do not provide, supervise, or guarantee the deliveries, rides, tows, repairs, or other services your business performs. You are solely responsible for:

  • The services you offer, including their quality, safety, timeliness, pricing, and legality.
  • Your relationships with your customers, including complaints, refunds, chargebacks, and disputes.
  • Your drivers and staff, including hiring, employment or contractor classification, wages, licensing, insurance, and conduct.
  • Holding the licenses, permits, and insurance your industry requires, including any transport, towing, or medical transport regulations that apply to you.

Any claim arising from the services you provide is solely between you and the claimant. CodeRed Technologies, Inc. has no liability to your customers, your drivers, or any other third party arising from your services, and you will not represent otherwise.

5. Location Tracking

The Service records GPS location data from driver devices to power dispatch, arrival estimates, and location history. Before enabling tracking, you must inform your drivers and obtain any consent required in your jurisdiction.

6. Messaging and Notifications

The Service can send SMS, WhatsApp, email, and push notifications to your customers and team on your behalf. You are responsible for having the recipients' consent to receive these messages and for complying with applicable messaging laws. Messages sent to the AI assistant are processed by our AI provider to generate replies.

7. Payments

Payment processing is provided through Stripe and governed by Stripe's terms. We do not store full card numbers. Fees for the Service during and after early access will be communicated to you before you are charged. You are responsible for applicable taxes.

8. Acceptable Use

  • Do not use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Do not attempt to gain unauthorized access to the Service, other tenants' data, or related systems.
  • Do not resell, sublicense, or redistribute the Service without our written consent.
  • Do not use the Service to send unsolicited or unlawful communications.

9. Not an Emergency Service

The Service supports dispatch operations, including roadside assistance and non-emergency medical transport, but it is not an emergency communication system and must not be relied upon for life-critical or time-critical emergency response. Always use emergency services (such as 911) for emergencies.

10. Intellectual Property

The Service, including its software, design, and content, is owned by CodeRed Technologies, Inc. and protected by applicable intellectual property laws. If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation.

11. Third-Party Services

The Service integrates with third-party services (such as Stripe, Twilio, and mapping providers). Your use of those services is governed by their own terms, and we are not responsible for their availability or conduct. Where features run on your own provider accounts and API keys (such as mapping, messaging, or AI), you are responsible for those accounts, their security, and the charges they incur.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Route plans, arrival estimates, and similar outputs are estimates, not guarantees.

13. Limitation of Liability

To the maximum extent permitted by law, CodeRed Technologies, Inc. shall not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or business interruption, arising from your use of the Service. Our total liability for any claim arising out of these Terms shall not exceed the amounts you paid us for the Service in the twelve months before the claim arose.

14. Indemnification

You agree to indemnify, defend, and hold harmless CodeRed Technologies, Inc. and its officers, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising out of: (a) the services your business provides to its customers, including claims brought by your customers, drivers, or other third parties; (b) your use of the Service in violation of these Terms or applicable law; (c) data you process through the Service; or (d) messages sent at your direction.

15. Suspension and Termination

We may suspend or terminate your access to the Service immediately and without prior notice where we reasonably believe it is necessary, including if: you breach these Terms; your use poses a security, legal, or operational risk to the Service, to other tenants, or to any third party; your use is unlawful or abusive; or your account is past due. Where the issue is curable, we will make reasonable efforts to notify you and give you an opportunity to fix it, but we are not required to do so.

We may also terminate the Service or your account for any other reason with thirty (30) days' notice, in which case we will refund any prepaid fees for the unused period. You may stop using the Service and close your account at any time.

Upon termination we will, on request and where technically feasible, provide you an export of your business data within a reasonable period. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) survive.

16. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New York County, New York.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.

18. General

These Terms are the entire agreement between you and CodeRed regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We may provide notices to the email address on your account.
